                    Annual General Meeting and Name Change

At the Annual General Meeting of the Company held today the Group's
shareholders agreed the Company's name change to TT electronics plc, which
will be effective from 1 June 2001.


John Newman, Executive Chairman, made the following comments:


'The Group's refocus on its global electronic and electrical businesses is
nearing completion with the proposed demerger of non-core activities. The
change of name to TT electronics plc will better reflect the Group's core
activities.


TT electronics is an innovative leader with advanced technology and a strong
position in the electronic marketplace. The Group looks forward to growth in
the future.'
