Posting of a Circular convening an Extraordinary General Meeting

Further to the Company's announcement on 29 July 2009, Glasgow Income Trust plc (the "Company") has today issued a circular convening an extraordinary general meeting (the "EGM") to be held at 2.00 p.m. on 17 September 2009 at 40 Princes Street, Edinburgh, EH2 2BY.

At the EGM, resolutions will be put to shareholders in relation to recommended proposals for the future of the Company; more specifically being resolutions (i) to approve and adopt the new investment policy of the Company; (ii) to increase the authorised share capital of the Company to £100,000,000 by the creation of an additional 200,000,000 ordinary shares of 25p each; (iii) to give the Directors authority to allot new shares up to an aggregate nominal amount of £69,514,370.75; (iv) to disapply rights of pre-emption in relation to the allotment of shares up to an aggregate nominal amount of £69,646,617; (v) to amend the articles of association of the Company to take account of the implementation on 1 October 2009 of the remaining provisions of the Companies Act 2006; and (vi) to authorise the Company to hold general meetings (other than annual general meetings) on 14 clear days' notice. Full details of the resolutions to be proposed at the EGM are contained in the circular.
