Tribal Group PLC 30 May 2001 Tribal Group plc ('Tribal Group' or the 'Company') Acquisition of Austin Mayhead & Company Limited ('Austin Mayhead'). Tribal Group is pleased to announce the acquisition of Austin Mayhead. Tribal Group has acquired 75 per cent of the issued share capital of Austin Mayhead, with the balance of 25 per cent being retained by the Austin Mayhead management. Austin Mayhead provides a range of consulting services to the public sector focusing on housing, procurement and regeneration. Its services embrace strategic advice, organisational development, performance improvement and management development programmes. Austin Mayhead works with a number of central government departments including The Department for Education and Employment (DfEE) and The Department of the Environment, Transport and the Regions (DETR), and has a strong presence in the local government sector, working with over 60 authorities. The initial consideration of £1,090,540 is to be satisfied by: - the issue of 43,585 ordinary shares of 5p each in Tribal Group ('New Tribal Group Shares'); and - £965,540 in cash. The initial consideration includes the acquisition of cash balances held by Austin Mayhead of £215,540. Further consideration of up to £180,000 will be paid depending upon the performance of Austin Mayhead in the year ending 31 July 2001. This deferred consideration will be satisfied in cash. Application has been made for admission of the New Tribal Group Shares to trading on the Alternative Investment Market of the London Stock Exchange ('AIM'). It is expected that the New Tribal Group Shares will commence trading on AIM on 5 June 2001. The New Tribal Group Shares will rank pari passu in all respects with the existing ordinary shares of the Company.
