The issuer advises that the following replaces the Director Shareholding
announcement released yesterday at 17:11, under RNS number 9697U.



In paragraph 2 the final line should read: the Company was notified on 23 April
2002 that the directors of the Company listed below had the following beneficial
interests, and not the Company was notified on 23 April 2002 that the executive
directors listed below had the following beneficial interests, as previously
stated.



IM Haynes's previous holding was 255,000 and not 354,100 as previously stated,
and current holding is 255,000 percentage 1.17%, and not 354,100 percentage
1.62%. AM Fulton's previous holding was 354,100, and not 255,000 as previously
stated, and current holding is 354,100 percentage 1.62%, and not 255,000
percentage 1.17% as previously stated.



All other details remain unchanged, and the full amended text appears below:



Following the announcement of the results of the extraordinary general meeting
and tender offer on 15 April 2002, the Company has purchased and subsequently
cancelled 3,733,295 ordinary shares of 1p each in the Company ('Ordinary Shares
') representing 14.64% of the total number of Ordinary Shares in issue.
Following this cancellation, there are now 21,752,314 Ordinary Shares in issue.



No directors tendered their Ordinary Shares in the tender offer, however, as a
result of the reduction of Ordinary Shares in issue, the Company was notified on
23 April 2002 that the directors of the Company listed below had the following
beneficial interests:
