                            Directors' Shareholdings

Following the announcement of the results of the extraordinary general meeting
and tender offer on 18 October 2002, the Company has purchased and subsequently
cancelled 6,602,735 ordinary shares of 1p each in the Company ('Ordinary
Shares') representing 30.35% of the total number of Ordinary Shares in issue.
Following this cancellation, there are now 15,149,579 Ordinary Shares in issue.

No directors tendered their Ordinary Shares in the tender offer,
thereforehowever, as a result of the reduction in the issued share capital of
the Company the percentage of each directors thebeneficial interest increased as
listed below reduction of Ordinary Shares in issue, the Company was notified on
28 October 2002 that the Directors of the Company, listed below, had the
following beneficial interests:
