                            Directors' Shareholdings


Following the announcement of the results of the extraordinary general meeting
and tender offer on 15 April 2002, the Company has purchased and subsequently
cancelled 3,733,295 ordinary shares of 1p each in the Company ('Ordinary 
Shares') representing 14.64% of the total number of Ordinary Shares in issue.
Following this cancellation, there are now 21,752,314 Ordinary Shares in issue.

No directors tendered their Ordinary Shares in the tender offer, however, as a
result of the reduction of Ordinary Shares in issue, the Company was notified on
23 April 2002 that the executive directors of the Company listed below had the
following beneficial interests:
