                                 Result of AGM


Travis Perkins plc confirms that all resolutions proposed at the Annual General
Meeting held on 1 May 2002 were duly passed by shareholders.

The resolutions passed included authority for the Company to make market
purchases of ordinary shares within the meaning of section 163(3) of the
Companies Act 1985.

Two copies of the resolutions passed as Special Business have been submitted to
the UK Listing Authority today and will be available for inspection at the UK
Listing Authority's Document Viewing Facility, which is situated at:
