The Board of Travis Perkins announces that the OFT has decided not to refer the
acquisition of Wickes Limited to the Competition Commission.



Accordingly, the agreement for the purchase of Wickes Limited is now
unconditional. Completion of the transaction is expected to take place on 11
February 2005.
