                            Director's Shareholding

Mr J.P.Carter, a Director of Travis Perkins plc, today exercised options over
39,351 ordinary shares of 10p each in the company ('shares') at an option price
of £7.56 per share, of which he retained 1,984 shares and sold 35,383 shares, at
a price of £14.20. 1,984 shares were also transferred to his wife, Mrs
L.B.Carter. In addition to this Mr Carter and his wife each sold 900 shares at a
price of £14.35.

As a result of these transactions, Mr Carter has a beneficial interest in 10,958
shares in the Company representing 0.0095 per cent of the issued share capital
of the Company.
