                            Directors Shareholding




The Company was yesterday informed that Travis Perkins Quest Trustees Limited,
a wholly-owned subsidiary of the Company, as trustee of the Travis Perkins
Qualifying Employee Share Ownership Trust (the 'QUEST') had on 4 January 2002
transferred 2,269 ordinary shares in the Company to employees in satisfaction
of the exercise of options under the Company's savings related share option
scheme. The QUEST now holds 135,934 ordinary shares in the Company. As
potential beneficiaries under the QUEST, each executive director of the
Company is treated as being interested in all of the shares held by the QUEST.

beneficiaries of the shares in this notification are:
