On 27 April 2001, Travis Perkins plc ('the Company') was informed that the
Travis Perkins plc ESOP Trust ('the Trust') acquired by subscription on the
same day, at a price of £7.23 per share, a total of 97,249 ordinary shares of
10p each in the capital of the Company, all of which have been transferred to
satisfy options exercised under the Company's 1995 Executive Share Option
Scheme ('the Scheme'). As potential beneficiaries under the Scheme, each
executive director of the Company is treated as being interested in such
shares.

On 30th April 2001 the company was informed that on 27 April 2001, Mrs S
Hampden Smith the wife of P N Hampden Smith, a director of the company, sold
12,000 ordinary shares in the company at a price of 722p. Mr Hampden Smith now
has an interest in 3001 ordinary shares in the company.
