                                SALE OF SHARES                

Mr Paul Hampden Smith, a director of Travis Perkins plc (the 'Company'), sold
12,000 ordinary shares of 10p each in the Company at £6.81 per share on 19
December 2000.  This sale of 12,000 shares follows the exercise of options
over 20,000 shares on 15 December 2000.  The balance of 8,000 shares have been
transferred into Mr Hampden Smith's wife's name.  Mr Hampden Smith now has a
beneficial interest in 15,001 ordinary shares in the Company.
