                             Director Shareholding





In common with all eligible employees, each of the executive directors and
members of the Company's Executive Committee have, since April 2007 been able to
participate in the Company's Buy As You Earn scheme by purchasing Partnership
Shares. Partnership Shares are Travis Perkins shares which can be purchased by
using deductions from the employees pre-tax salary either monthly or by an
annual lump sum. On the 4th December the following were awarded Partnership
shares at a price of 1235p:-


Paul Hampden Smith, a director of the Company, was awarded 10 Partnership
shares. As a result, Mr. Hampden Smith now has a beneficial interest in 45,720
ordinary shares of 10p each in the Company, representing less than 0.1% of the
issued share capital


Carol Kavanagh, a member of the Company's Executive Committee, was also awarded
10 Partnership shares. As a result, Mrs. Kavanagh now has a beneficial interest
in 3,709 ordinary shares of 10p each in the Company, representing less than 0.1%
of the issued share capital
