                          Proposed Directorate Changes



The Board of Transense (the 'Board'), the UK-based technology licensing company,
is considering a number of Board changes. Specifically, they are considering the
appointment of David Kleeman as Non-Executive Chairman of the Company and Melvyn
Segal as a Non-Executive Director (the 'Proposed Directors').

The Board is currently discussing these proposed appointments, which are also
subject to satisfactory due diligence on the Proposed Directors being completed
by the Company's nominated adviser, Noble & Company Limited ('Noble').

Subject to the appointment of the Proposed Directors it is proposed that Jim
Perry, Chief Executive Officer would move to Vice Chairman and Peter Woods,
Non-Executive Chairman and Antony Baldry, a Non-Executive Director, would both
retire from the Company.

A further announcement on the proposed Board changes will be made in due course.
