Offer, Further Placing and Exercise of Options

Capitalised terms in this announcement have the same meaning as in the Circular dated 7 June 2013 except where otherwise indicated.

Transense confirms that, further to its announcement on 2 July, 2013, the Company has completed the Offer at the maximum gross amount of £1.05 million, through the issue of 14,000,000 Ordinary Shares at the Issue Price (7.5 pence).

In addition, the Company has completed a further placing of 8,651,998 Ordinary Shares to raise approximately £0.65 million before expenses at the Issue Price (the "Further Placing"). The net proceeds of the Further Placing will be used principally for, inter alia, sales and field support, quality control and for working capital purposes.

The Company also announces that, it has approved the issue and allotment of 500,000 new ordinary shares in the Company following an exercise of share options by certain Transense employees (the "Option Shares").

Application has been made to AIM for the admission of the 14,000,000 Offer Shares, the 8,651,998 Further Placing shares and the 500,000 Option Shares (together, the "New Shares"), with trading expected to commence at 8.00 a.m. on 12 July, 2013. Following the admission of the New Shares, the Company will have 267,236,046 Ordinary Shares in issue.

This figure of 267,236,046 may be used by shareholders as the denominator for the calculations by which they will determine whether they are required to notify their interests in, or a change to their interest in, the Company under the FCA's Disclosure and Transparency Rules.
