                      Notification of interest(s) in shares
                  under Part VI of the Companies Act 1985 (the 'Act')

This letter is to notify you, pursuant to Part VI of the Act, that on 13th
August, 2001 Vinci of 1 cours Ferdinand-de-Lesseps, 92851 Rueil-Malmaison Cedex,
France was interested for the purposes of Section 198(1) of the Act in
83,250,000 ordinary shares of 10 pence each in the Company.

We are not aware of the name of the registered holder of the shares on 13th
August, 2001.  However, Schroders plc announced today that the seller was
Schroders plc on behalf of institutional clients on a non-beneficial basis

We act for Vinci and this disclosure is being made on their behalf.
