                              Holding in Company


Totally received a notice today from Schweco Nominees Limited advising that it
has a notifiable interest of 3,333,333 Ordinary Shares, equivalent to 9.9 per
cent. of the issued share capital of the Company.


Furthermore, the Company has also been notified of the following:


(a)      on 2 July 2001, Epoch Software Holdings PLC disposed of 833,333
ordinary shares of 1p each (representing approximately 2.47 per cent. of the
issued ordinary share capital of the Company) and no longer has a notifiable
interest in the ordinary share capital of the Company; and



(b)      on 2 July 2001, Benjamin Marc Cohen disposed of 666,667 ordinary
shares of 1p each (representing approximately 1.98 per cent. of the issued
ordinary share capital of the Company) and no longer has a notifiable interest
in the ordinary share capital of the Company.
