                            Director Shareholding

The Company was informed on 2 October 2001 that Stuart Williams, Chairman, had
on 2 October 2001 been gifted 700,000 ordinary shares of 12.5p each by his
wife, this transfer represents 1.56% of the issued share capital. On the same
date Stuart Williams gifted to his daughter-in-law 40,000 shares representing
0.09% of the issued share capital and is now interested in 5,537,720 ordinary
shares of 12.5p each representing 12.36% of the issued share capital.
