                        Topps Tiles PLC (the 'Company')

                            Director's share transfer

The Company was notified on 30 March 2004 that Mr Stuart Williams (Executive Co-
Chariman) transferred 60,000 ordinary  shares of 12.5p each ('Ordinary Shares')
on 30 March 2004 (representing 0.13 per cent of the Company's issued ordinary 
share capital) for nil consideration to The Williams Charitable Trust. Following
this transfer, Mr Williams's aggregate  beneficial holding amounted to 4,939,720
Ordinary Shares (representing 10.9 per cent. of the Company's issued ordinary 
share capital).
