Shares') as consideration for the acquisition of Hoffmann Datentechnik GmbH,
announced on 13 June 2005, and in connection with an offer being made for XN
Checkout Holdings Plc by Evolution Securities Limited on behalf of the Company,
in accordance with Rule 2.10 of the City Code on Takeovers and Mergers, Torex
Retail confirms it has 193,494,101 Ordinary Shares in issue with ISIN
GB0034291632.
