                        Torex Retail plc (the 'Company')

                  Holding in Company and Director Shareholding

The Company was informed on 20 December 2004 by Alphameric plc that on that date
it sold all of the 7,371,370 ordinary shares of 1p each in the Company
('Ordinary Shares') that it was issued pursuant to the Company's recent
acquisition of the retail division of Alphameric plc at 70p per share.

The Company was also informed on 20 December 2004 by Jurgen Heck, a director of
the Company, that on that date he sold 1,435,750 Ordinary Shares at 70p per
share. Following this sale, Mr Heck is interested in 5,764,250 Ordinary Shares,
representing 3.16 per cent. of the Company's current total issued ordinary share
capital of 182,346,964 Ordinary Shares.

All of the Ordinary Shares sold were placed by Evolution Securities Limited in
order to satisfy strong demand from institutional and other investors.
