                             DIRECTOR SHAREHOLDING

The Company was informed on 30 April 2004 that Mark Pearman, a director of the
Company with effect from 1 May 2004, acquired 100,000 ordinary shares of 1p each
('Ordinary Shares') at 68p per share on 30 April 2004. Following this
acquisition, Mr Pearman is interested in 100,000 Ordinary Shares, representing
0.07 per cent. of the Company's issued share capital.
