                               Additional Listing

Application has today been made for 2,798,360 new ordinary shares of 1p each
('Deferred Consideration Shares') to be admitted to trading on AIM. It is
expected that admission will become effective on 12 March 2004.

The Deferred Consideration Shares are being issued to satisfy the deferred
vendor consideration for the acquisitions of Arciris Holdings Limited (as to
1,125,000 Deferred Consideration Shares) and Micrelec NV (as to 1,673,360
Deferred Consideration Shares).
