PLC 10 November 2005 F W THORPE PLC POSTING OF CIRCULAR Further to the announcement dated 21 October 2005, in which the Company said that it was the intention to move the listing of the Company's shares from the Official List of the UK Listing Authority and trading on the London Stock Exchange's market for listed securities, to the Alternative Investment Market of the London Stock Exchange, the Directors confirm that a circular has been despatched to shareholders. The circular sets out the reasons for the proposed move and pursuant to the Listing Rules of the UK Listing Authority, gives notice of an Extraordinary General Meeting to be held on 2 December 2005 to approve the resolution to cancel the listing of the shares on the Official List. If the resolution is passed, the Directors will then immediately apply to cancel the listing of the shares on the Official List, which is expected to be effective on the close of trading on 5 January 2006. Application will also immediately be made to the London Stock Exchange for admission to trading on AIM. Trading is expected to commence on 6 January 2006.
