Property & Capital Group Plc ('the Group')

Property Disposals/Extraordinary General Meeting ('EGM')

At auction yesterday the Group disposed of 61 assorted West of Scotland flats
and houses at an aggregate price of £3.1m; these had a cost and carrying value
of £3.2m.

At the EGM held today, both resolutions, to increase the authorised share
capital of the Group and to adopt new Articles of Association, were passed.
