Capitaltech PLC 30 March 2001 CapitalTech plc CapitalTech plc and subsidiaries ('the Group') on 29 March 2001, sold to Oystercatcher Limited Partnership the Group's 99% holding in a subsidiary company CTNC Limited which carries on the business of owning, managing and letting 223 units of residential property belonging to the Group in England and Wales, for a consideration of £99 plus repayment of indebtedness of CTNC to CapitalTech plc and outside lenders amounting to £10,814,966. The Group's carrying value of the properties at open market vacant possession value was £ 10,890,229. The net assets of CTNC Limited, after deducting loans from CapitalTech plc and outside lenders, were £99. Gross rental at an annual rate of £930,449 per annum was being achieved at the time of sale. £6,214,238 is being applied in repayment to bankers to the Group, and £ 3,886,901 is being applied in reduction of the Group's borrowings from majority shareholders the Adair Trusts, in which CapitalTech plc's chairman, Robert Adair has an interest. The foregoing transaction is a substantial transaction under the Rules of the Alternative Investment Market of the London Stock Exchange ('AIM') and is in line with two objectives as set out in the Chairman's Statement (accompanying the annual accounts) of 25 October 2000, and the recent Interim Report of 27 February 2001, namely concentrating the Group's residential property holdings in Scotland and other selected centres, and reducing gearing. 30 March 2001 END
