TERRACE HILL GROUP PLC ('the Company')

DIRECTORS' DEALINGS

The Company announces that it was notified today that the following directors
had acquired ordinary shares in the Company as follows:

1.                  Mr Nigel Turnbull, Joint Managing Director of the Company,
today purchased 9,000 Shares in the Company at a price of 32p each. Mr
Turnbull's interest in the share capital of the Company has increased from
146,000 Shares to 155,000 Shares (0.08%).

2.                  Mr Ross Macdonald, Joint Managing Director of the Company,
today purchased 9,000 Shares in the Company at a price of 32p each. Mr
Macdonald's interest in the share capital of the Company has increased from
549,522 Shares to 558,522 Shares (0.30%).

3.                  Ms Miranda Kelly, today purchased 3,000 Shares in the
Company at a price of 32p each. Ms Kelly's interest in the share capital of the
Company has increased from 105,302 Shares to 108,302 Shares (0.06%).

4.                  Mr Thomas Walsh, today purchased 3,000 Shares in the Company
at a price of 32p each. Mr Walsh's interest in the share capital of the Company
has increased from 24,000 Shares to 27,000 Shares (0.01%).

The Shares referred to in the announcement are the issued Ordinary Shares of 2p
each in the Company.

The percentage figures above have been calculated on the basis of the enlarged
issued share capital of 186,833,117 Shares in the Company following admission of
the new Ordinary Shares to trading on AIM in respect of the additional listings
announced on 29 April 2004 and on 27 April 2004.
