CAPITALTECH PLC ('the Company')

DIRECTOR'S SHAREHOLDINGS

1.   The family trusts of Robert Adair, Chairman of the Company, have today     
     purchased 57,845 Shares (all Shares referred to in this announcement are   
     Ordinary Shares of 2p each nominal value) at a price of 10p each. Mr       
     Adair's interest in the share capital of the Company has increased from    
     47,181,372 Ordinary Shares (63.46%) to 47,239,217 Ordinary Shares (63.53%).

2.   D. Ross Macdonald, Chief Executive of the Company, has today purchased     
     1,560 Ordinary Shares at a price of 10p each and 5,000 Ordinary Shares at a
     price of l2p each.  Mr Macdonald's interest in the share capital of the    
     Company has increased from 428,526 Ordinary Shares (0.58%) to 435,086      
     Ordinary Shares (0.59%).

3.   Sean D H Cufley, Director of the Company, has today purchased 1,560        
     Ordinary Shares at a price of 10p each. Mr Cufley's interest in the share  
     capital of the Company has increased from 74,393 Ordinary Shares (0.10%) to
     75,953 Ordinary Shares (0.10%).

4.   Miranda A Kelly, Director of the Company, has today purchased 1,560        
     Ordinary Shares at a price of 10p each. Miss Kelly's interest in the share 
     capital of the Company has increased from 48,488 Ordinary Shares (0.07%) to
     50,048 Ordinary Shares (0.07%).
