CAPITALTECH PLC ('the Company')

DIRECTORS SHAREHOLDING

Pursuant to the interim allotment announced today, the family trusts of Robert 
Adair in which he has an interest, following application in part for their 
entitlement under the Rights Issue (they will be applying for the balance of 
their full entitlement), have been allotted 2,543,674 new Ordinary Shares of 2p 
each nominal value at a price of 10p each.  Mr Adair's interest in the share 
capital of the Company has thus increased from 29,629,301 Ordinary Shares 
(51.68%) to 32,172,975 Ordinary Shares (52.89%).
