Terrace Hill Group plc ('Terrace Hill' or 'the Company')

Additional Listing


The Company announces that it has applied for the admission of 162,234 new
ordinary shares of 2p each ('Terrace Hill Shares') in the Company to trading on
the Alternative Investment Market of the London Stock Exchange ('AIM'). These
shares have been issued and allotted to shareholders of SERAH Properties plc
who, since the announcement released on 11 March 2004, have elected to receive
new Terrace Hill Shares under the cash offer with share alternative. The offer
closed on 25 March 2004. It is expected that dealings in the new Terrace Hill
Shares will commence on 2 April 2004.

These shares will rank pari passu with all existing Terrace Hill Shares in issue
and the number of shares in issue following this application becoming effective
will be 157,536,369
