RIGHTS ISSUE/SHARE REPURCHASE

CAPITALTECH PLC ('the Company')

INTERIM ALLOTMENT

Reference is made to the Announcement of 3 October 2001.

In order that the cost of the proposed Share repurchase which, (subject to 
member's approval at the EGM on 30 October 2001) is expected to be of 
approximately 3,000,000 Shares, may be met out of the proceeds of a new issue of
Shares, the Company has today allotted to early applicants pursuant to the 
Rights Issue a total of 3,500,000 new Ordinary Shares of 2p each nominal value 
ranking in all respects pari passu with the existing Ordinary shares of 2p each 
nominal value in issue, at a price of 10p each.

Application has been made for Admission to trading on AIM of said Shares 
allotted today, and Admission is expected on 24 October 2001.
