Acquisition of Residential Unit Trusts
Pursuant to the Schemes of Amalgamation referred to in the announcements of 8
and 31 August 2000, the acquisition by CapitalTech plc of the assets and
liabilities of The Norcity Residential Unit Trust, The Neill Clerk Residential
Unit Trust and The Clyde Residential Unit Trust has been completed today. In
satisfaction of the consideration, CapitalTech plc has today issued in
aggregate 25,162,263 new Ordinary Shares of 2p each, ranking in all respects
pari passu with the existing Ordinary Shares of 2p each of CapitalTech plc
with effect from this date. The number of such shares issued to former
Unitholders in respect of each trust (reduced slightly since the announcement
of 8 August 2000 on account of intervening redemptions of units and of
rounding) is:
The Norcity Residential Unit Trust 14,501,121
The Neill Clerk Residential Unit Trust 8,905,331
The Clyde Residential Unit Trust 1,755,811
Application has been made to admit the new Ordinary Shares to trading on the
Alternative Investment Market ('AiM') and it is expected that these shares
will be admitted to trading on AiM on 20 September 2000.
