PROPERTY AND CAPITAL GROUP (the 'Company')

ACQUISITION

The  Company has today issued a Recommended Cash  and  Share
Offer  to acquire the entire issued share capital of Borders
Assured  Properties  PLC for an aggregate  consideration  of
£144,909 plus 19,605 new ordinary shares in the Company.
