Total Voting Rights and Share Capital


In conformity with the Transparency Directive's transitional provision 6, F&C
Global Smaller Companies PLC is required to notify the market of the following:

F&C Global Smaller Companies PLC issued share capital consists of 47,627,781
ordinary shares with a nominal value of 25 pence each, with voting rights.  F&C
Global Smaller Companies PLC does not hold any shares in Treasury.

Therefore, the total number of voting rights in F&C Global Smaller Companies PLC
is 47,627,781.

The above figure of 47,627,781 shares may be used by shareholders as the
denominator for the calculations by which they will determine if they are
required to notify their interest in, or a change to their interest in, F&C
Global Smaller Companies PLC under the Financial Service Authority's Disclosure
and Transparency Rules.
