Artisan (UK) PLC 12 January 2000 Artisan (UK) plc ('Artisan' or 'the Company') Acquisition of Investment Properties The Company announces that it has agreed terms for the acquisition of two investment properties from Suffield Limited ('the Vendor'), known as St James House and Townhead House, both in Sheffield, for a consideration of £2,250,000. The properties in aggregate currently generate £287,815 per annum rental income but, refurbished and fully let, would be expected to generate over £400,000 in rents. In order to maximise the potential revenue from the properties, Artisan is planning marketing exercises for both sites and hopes to improve on the rental income currently generated. The consideration is to be satisfied by the issue of 10,000,000 Artisan ordinary shares to Baymont Developments Limited on behalf of the Vendor at a price of 12.5p per share, and by way of £1,000,000 in cash. The cash element is to be funded by way of a loan to the Company by Baymont Developments Limited repayable in one year with interest of 8%. Application has been made for these shares to be admitted to trading on the Alternative Investment Market and dealings are expected to commence on 13 January 2000.
