In  conformity  with  the  Transparency  Directive's  transitional provision 6,
Downing Distribution VCT 1 plc announces the following:

The  Company's capital at 30 April  2010 consisted of 21,862,198 Ordinary shares
of 1p each.  The Company does not hold any shares in treasury.

Therefore the total number of voting rights in Downing Distribution VCT 1 plc is
21,862,198.

The  above  figure  may  be  used  by  shareholders  as  the denominator for the
calculations  by which they will determine if  they are required to notify their
interest  in, or a change  to their interest in,  Downing Distribution VCT 1 plc
under the FSA's Disclosure and Transparency Rules.
