PARTIAL OFFER LAPSES

 

Introduction

 

On 2 April 2012, THAL (AIM: THAL) announced the terms of a Partial Offer of Rock Solid Images Plc ("RSI"). On 24 April 2012, THAL published and posted to RSI Shareholders the document containing the full terms and conditions of the Partial Offer (the "Offer Document") together with the relevant Form of Acceptance in respect of RSI Shares held in certificated form.

 

First Closing Date - Level of Acceptances

 

As required under Rule 17 of the City Code on Takeovers and Mergers, THAL announces that, as at 1.00 p.m. on 21 May 2012, being the first closing date of the Partial Offer, it had received valid acceptances in respect of 13,778,753 RSI Shares, representing approximately 8.71 per cent. of the existing issued share capital of RSI. There are no outstanding irrevocable commitments or letters of intent to accept the Partial Offer.

 

Therefore, as at 1:00 p.m. (London time) on 21 May 2012, THAL may count 13,778,753 RSI Shares (representing approximately 8.71 per cent. of the existing issued share capital of RSI) towards the satisfaction of the Acceptance Condition to the Partial Offer (as set out in paragraph 1(a) of Part A of Appendix I of the Offer Document).

 

Thalassa currently owns 6,342,322 RSI Shares, which together with the 13,778,753 RSI Share tendered under the Partial Offer, represents a total of approximately 12.72 per cent. of the issued share capital of RSI.

 

The breakdown as to the current level acceptances for the Cash Offer and Thalassa Shares Alternative is as follows: 

  • 4,408,421 RSI Shares (representing approximately 32 per cent. of acceptances   received) pursuant to the Cash Offer; and
  • 9,370,332 RSI Shares (representing approximately 68 per cent. of acceptances received) pursuant to the Thalassa Shares Alternative.

  

Partial Offer Lapses

 

As a consequence of the Acceptance Condition not being met the Partial Offer has lapsed.

 

Unless otherwise defined in this announcement, capitalised words and phrases used in this announcement shall have the same meanings given to them in the Offer Document.

Disclosure requirements of the Takeover Code (the "Code")

Under Rule 8.3(a) of the Code, any person who is interested in 1% or more of any class of relevant securities of an offeree company must make an Opening Position Disclosure following the commencement of the offer period. An Opening Position Disclosure must contain details of the person's interests and short positions in, and rights to subscribe for, any relevant securities of the offeree company.
