                        UKLA Listing Rules Announcement

Tesco PLC announces that on 25 October 2004 it purchased for cancellation the
entire issue of its £30,000,000 Floating Rate Notes due 30 May 2006 (Series 24
under its Euro Note Programme) for settlement on 28 October 2004. Following such
cancellation there will be no outstanding Notes of this issue.
