DISCLOSURE OF INTEREST IN SHARES

The Company has been informed by letter dated 25th September 2002 that as at the
close of business on 23rd September 2002, Lehman Brothers International (Europe)
had an interest in 290,817,079 Ordinary shares of 5p each of the Company. This
represents 4.20% of the share capital of the Company.

The Company has also been informed by a further letter dated 4th October 2002
that as at close of business on 2nd October the interest of Lehman Brothers
International (Europe) in the ordinary shares of 5p each of the Company, has
fallen below 3%.
