Exchange and the Irish Stock Exchange for the listing of 44,395,005 Ordinary
Shares of 5p each, ranking pari passu with the existing Ordinary Shares, to the
Official List.

These shares have been issued pursuant to the Tesco PLC Scrip Dividend Scheme.
