                                Directors Dealing


Teather & Greenwood Holdings plc ('the Company') has been informed that today
Jeremy Delmar-Morgan, Chairman, has sold 100,000 ordinary shares of 10p each in
the Company.  Following this sale Mr Delmar-Morgan will hold 2,503,009 shares,
representing 4.4 per cent.


As previously announced, Mr Delmar-Morgan will be standing down as both Chairman
and a Director of the Company at the end of this financial year ending 30 April
2004. His successor will be Lord Baker of Dorking.
