AGM Statement

Teather & Greenwood Holdings PLC 03 August 2004 For Immediate Release 3 August 2004 AGM Statement The continuing uncertainties in the global economy and political issues have resulted in weak stock markets. Since the start of our financial year market conditions have been difficult. The main market has slowly drifted down on very thin volumes and other markets have followed this trend, and consequently completing corporate transactions and the ability to make good revenues from agency trading and market making are more difficult. However we have managed to complete a number of fund raisings for our clients and are currently working on some sizeable transactions like the public to private of the DFS group. The result of this is that the business has traded profitably for the first quarter and in line with market expectations. The corporate finance pipeline is robust and we continue to win good quality corporate brokerships and corporate transactions. As reported in the accounts the Board sought a third independent non executive director. The Board is pleased to announce the appointment of Alan Barber as a non-executive director as from today. Alan is a former partner of KPMG based in London whose varied background of commercial and professional experience will be of great assistance for Teather & Greenwood in this period of change within the industry. Alan, who is 56, will also assume the chairmanship of the Audit Committee. The Board is also pleased to announce that the current Chief Executive, Ken Ford (55) will step up to become Deputy Chairman, and Nick Stagg (44) current Chief Operating Officer and Finance Director will become Chief Executive and continues as Finance Director. Bruce Weir currently Finance Director of the subsidiary company Teather & Greenwood Limited will also be appointed Company Secretary to the Board. These changes will take effect on 1 September 2004. In conclusion, although the markets remain weak and conditions are difficult, Teather & Greenwood is well placed to continue its progress.
