Further to the Disclosure and Transparency Rules of the Financial Services
Authority, the total number of ordinary shares of 5p of Telecom plus plc in
issue as at the date of this notice is 68,955,866 with each share carrying the
right to one vote.


There are no shares held in treasury.


The total number of voting rights in Telecom plus plc is therefore 68,955,866.


The above figure may be used by shareholders as the denominator for the
calculations by which they will determine if they are required to notify their
interest in, or a change to their interest in, Telecom plus plc, under the
Disclosure and Transparency Rules.
