                        Telecom Plus PLC ('the Company')

                            Issue of Ordinary Shares

Following the exercise of convertible loan stock in the Company, application has
been made to the UK Listing Authority for 163,140 new ordinary shares of 5p each
to be admitted to the Official List and to the London Stock Exchange for
admission to trading on the London Stock Exchange's market for listed
securities. These shares will rank pari passu with the existing ordinary shares
and it is expected that admission will occur and dealings will commence on 14
July 2004.
