                           Appointment of Chairman

Toad plc, Britain's leading aftermarket security, audio, multi-media, and
telematics company, is pleased to announce the appointment of Peter Ward to
the Board as Non-Executive Chairman with immediate effect. Mr Ward succeeds
Sir Christopher Evans OBE who recently retired from the Board.

Peter Ward, 56, has spent most of his career in the motor industry until
joining the board of Trafalgar House plc and becoming Chairman and Chief
Executive of Cunard Line Ltd in 1995.

Mr Ward joined Rolls-Royce Motor Cars Ltd as Managing Director, Sales and
Marketing, in 1983. He was appointed Managing Director in 1986 and became
Rolls-Royce Motor Cars Ltd's youngest ever Chief Executive the following year.
From 1991 to 1995, as Chairman and Chief Executive, he led the rescue of
Rolls-Royce Motor Cars from the early 1990's recession and steered the company
back into profit.

From 1997 Mr Ward led the expansion of Jardine International Motor Holdings
through major acquisitions, joint ventures and restructuring national retail
networks.
