Thames Water Plc B Share Repurchase

Thames Water Plc announces that the following purchase of B Shares has taken
place, in respect of acceptances received under the Repurchase Offer announced
on 4 October 1999.

Date of purchase                        9 December 1999
Number of B Shares purchased            1,090,890
Price per share                         79 pence

A total of 92.63% of the B Shares issued pursuant to the Capital
Reorganisation on 10 August 1998 have now been repurchased and 28,050,782
remain in issue.

The shares were purchased by Cazenove & Co. acting as agent for the Company.
All the B Shares purchased will be cancelled and will not be reissued.
