Re: Notification of Directors' Shares appropriated under the Thames Water
Profit Sharing Scheme.

On 10 August 1999, Ordinary Shares were appropriated under the Thames Water
Profit Sharing Scheme which is open to all eligible employees. 22 Ordinary
Shares at a price of £9.23 were appropriated to each eligible employee
including the Executive Directors of Thames Water Plc: Mr W J Alexander, Mr D
Badcock and Mr D J Luffrum. The shares were registered in the name of Thames
Water Share Scheme Trustees Limited and are held in trust for each employee.
