on 7 April 2003 as qualification shares under the 2002 deferred bonus
arrangement.

2. Exercise of a Matching Option to acquire 112,046 matching shares, originally
granted on 7 April 2003 pursuant to the 2002 bonus plan following maturity on 7
April 2006.

3. Sale of the resulting 112,046 matching shares.
