1. (A). Purchase of contributory shares under the Taylor Woodrow Deferred Bonus

            Plan, using cash bonus earned in 2006 to acquire shares;



1. (B). Grant of a one for one matching option under the Taylor Woodrow

            Deferred Bonus Plan, which, if the associated contributory shares
(see

            1.A (above) are held for at least three years, and the performance

            condition is met whereby the company's earnings per share increase

            over the three year holding period by at least 3% cumulative above

            the growth in the UK Retail Prices Index over the corresponding

            period, is exercisable at the end of that three year performance
period.
