1. A. Purchase of qualifying shares under the Taylor Woodrow Deferred Bonus
         Plan, using cash bonus earned in 2005 to acquire shares;

1. B. Grant of a one for one matching option under the Taylor Woodrow
         Deferred Bonus Plan, which, if the associated qualifying shares (see
         1.A (above) are held for at least three years, and the performance
         condition is met whereby the company's earnings per share increase
         over the three year holding period by at least 3% cumulative above
         the growth in the UK Retail Prices Index over the corresponding
         period, is exercisable at the end of that three year performance
         period.

2.      Sale of some or all of the qualifying and / or matching shares under the
         Taylor Woodrow Deferred Bonus Plan on first maturity of the qualifying
         shares purchased and the associated one for one matching option awards
         made by the company in 2003, based on executives' deferment of cash
         bonus entitlement earned for performance in 2002.
